Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, client portal, software, and services (collectively, the "Services") provided by 3TS LLC, doing business as Lighthaus Labs ("Lighthaus Labs," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

1. Acceptance of Terms

By accessing or using the Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms, either on your own behalf or on behalf of the entity you represent. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Lighthaus Labs provides managed information technology services, IT consulting, technology advisory, and related services to residential, business, and enterprise clients. The Services may include, without limitation:

  • Managed IT support and helpdesk services

  • Remote monitoring and management (RMM)

  • Cybersecurity services and managed detection and response

  • Backup, disaster recovery, and business continuity services

  • Cloud services administration and licensing

  • Technology consulting and strategic advisory

  • Access to the Lighthaus Labs Client Portal at portal.lighthauslabs.com

Specific Services provided to you will be governed by a separate written agreement, statement of work, or service order ("Service Agreement"). In the event of a conflict between these Terms and a Service Agreement, the Service Agreement controls with respect to the Services described therein.

3. Client Portal

3.1 Account Registration

To access the Lighthaus Labs Client Portal, you must register an account using single sign-on (SSO) through Microsoft 365 or Google Workspace. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.

3.2 Multi-Factor Authentication

Access to the Client Portal requires phishing-resistant multi-factor authentication enforced by your identity provider. You agree to maintain MFA on the identity provider account associated with your portal access.

3.3 Authorized Users

You may designate authorized users from your organization to access the portal. You are responsible for the actions of all users associated with your organization's account, including ensuring they comply with these Terms.

3.4 Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation

  • Attempt to gain unauthorized access to any portion of the Services, other accounts, or computer systems or networks connected to the Services

  • Interfere with or disrupt the operation of the Services or the servers or networks used to make the Services available

  • Reverse engineer, decompile, or disassemble any portion of the Services

  • Use any robot, spider, or other automated means to access the Services

  • Upload or transmit any viruses, malware, or other malicious code

  • Use the Services to harass, abuse, or harm another person or entity

  • Collect or harvest information about other users without their consent

4. Fees and Payment

4.1 Fees

Fees for Services are set forth in your Service Agreement or in the published rates for hourly and managed services. All fees are stated in U.S. Dollars.

4.2 Invoicing

Lighthaus Labs will invoice you for Services in accordance with your Service Agreement. Invoices are payable upon receipt unless otherwise specified.

4.3 Late Payment

Past-due amounts may accrue interest at a rate of 1.5% per month or the maximum rate allowed by law, whichever is less. Lighthaus Labs may suspend Services for accounts more than 30 days past due, subject to advance notice.

4.4 Disputed Charges

You must notify Lighthaus Labs of any disputed charges within 30 days of the invoice date. Failure to do so constitutes acceptance of the invoice.

5. Intellectual Property

5.1 Lighthaus Labs Property

The Services, including all software, documentation, designs, trademarks, logos, and content, are the exclusive property of Lighthaus Labs or its licensors and are protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services other than the limited right to use them in accordance with these Terms.

5.2 Client Data

You retain all rights to data, content, and information that you provide to Lighthaus Labs in connection with the Services ("Client Data"). You grant Lighthaus Labs a limited, non-exclusive, royalty-free license to use Client Data solely to provide and improve the Services.

5.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant Lighthaus Labs a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

6. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party that is marked as confidential or that a reasonable person would understand to be confidential under the circumstances ("Confidential Information"). The receiving party shall use Confidential Information only for purposes of performing under these Terms and shall protect such information with at least the same degree of care it uses to protect its own confidential information, but in no case less than reasonable care.

Confidential Information does not include information that: (a) was known to the receiving party prior to disclosure; (b) is or becomes publicly known through no breach of these Terms; (c) is rightfully received from a third party without a duty of confidentiality; or (d) is independently developed without use of the Confidential Information.

7. Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge and agree to the terms of the Privacy Policy.

8. Third-Party Services

The Services may integrate with or rely on third-party products, software, or services (e.g., Microsoft 365, Google Workspace, QuickBooks Online, Autotask, Datto, Kaseya). Lighthaus Labs is not responsible for the availability, performance, or content of third-party services. Your use of any third-party service is governed by the terms and conditions of the applicable third party.

9. Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN SERVICE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LIGHTHAUS LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LIGHTHAUS LABS DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LIGHTHAUS LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;

  • (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;

  • (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR

  • (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL LIGHTHAUS LABS' AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO LIGHTHAUS LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE THOUSAND U.S. DOLLARS ($1,000).

THE LIMITATIONS IN THIS SECTION SHALL APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF LIGHTHAUS LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lighthaus Labs, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable law or regulation.

12. Termination

12.1 Termination by You

You may terminate your use of the Services at any time, subject to the terms of any applicable Service Agreement.

12.2 Termination by Lighthaus Labs

Lighthaus Labs may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including for violation of these Terms.

12.3 Effect of Termination

Upon termination, your right to access the Services will immediately cease. Sections that by their nature should survive termination (including without limitation Sections 5, 6, 9, 10, 11, and 14) shall survive.

13. Modifications to the Services and Terms

Lighthaus Labs reserves the right to modify or discontinue the Services, in whole or in part, at any time. Lighthaus Labs may also modify these Terms from time to time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.

14.2 Jurisdiction

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

14.3 Informal Resolution

Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any applicable Service Agreement and the Privacy Policy, constitute the entire agreement between you and Lighthaus Labs concerning the Services and supersede all prior or contemporaneous communications.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of Lighthaus Labs to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without the prior written consent of Lighthaus Labs. Lighthaus Labs may assign these Terms without restriction.

15.5 Force Majeure

Lighthaus Labs shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or government actions.
